Terms of Service

These Terms govern your use of ScriptMyAds (the "Platform"), operated by Shiv Shankar Kanaujiya, sole proprietor trading as "ScriptMyAds" ("we", "us"), at Your Space Boys Hostel, Hosur Road, Bengaluru, Karnataka, India. By creating an account you agree to these Terms, the Privacy Policy, and the role-specific agreement that applies to you (the Creator Agreement or the Brand Agreement).

1. Eligibility

You must be 18 or older and able to enter a binding contract. One person or business holds one account with one role (Creator, Brand, or an internal ScriptMyAds staff account). You are responsible for everything done under your account and for keeping your credentials safe.

2. What the Platform is, and our role

ScriptMyAds offers three things: (a) an agency service where our team runs your campaigns; (b) a curated marketplace where we shortlist creators for brand campaigns; and (c) later, a self-serve campaign model.

Our role differs by offering, and this matters:

  • In the marketplace and self-serve offerings we are an intermediary and a venue. The contract for the work is between the Brand and the Creator. We are not a party to it, not an agent of either side, and not responsible for either side's performance, beyond the services we expressly provide (shortlisting, approval, and payment facilitation).
  • In the agency offering we are the counterparty: our team delivers the service and stands behind the guarantee in the Brand Agreement.

Ad spend on advertising platforms is paid by the Brand directly to those platforms, not to us.

3. Accounts and roles

Your role is chosen once at sign-up and is not self-changeable. We may verify the information you provide. We may suspend or close accounts that breach these Terms or the law.

4. Acceptable use and prohibited content

You will not: post unlawful, infringing, deceptive, or harmful content; misrepresent who you are or your audience; manipulate metrics or reviews; promote prohibited categories (illegal goods, and other categories we may list); or use the Platform to break advertising, consumer-protection, or tax law. Creators must follow the advertising-disclosure rules in the Creator Agreement.

5. Dealing on the Platform (non-circumvention)

If we introduce a Brand and a Creator through the Platform, you agree to transact that relationship on the Platform and not to take it off-Platform to avoid our fees, for 12 months after the introduction. If you do, you agree to pay the fee we would have earned on that transaction. This protects the service that made the introduction possible.

6. Content and intellectual property

You keep ownership of content you create, and grant the rights needed to operate the Platform and deliver the campaign, as detailed in the role-specific agreement. You grant us a non-exclusive licence to host, display, and market your content and profile on the Platform. The Platform's own software, brand, and design are ours.

If you believe content on the Platform infringes your rights, contact us at hello@scriptmyads.com with details; we will review, remove infringing content, and act against repeat infringers.

7. Payments

Payment terms, commissions, holding of funds, and payouts are set out in the role-specific agreements. Refunds and cancellations are set out in the Refund and Cancellation Policy. Taxes, including GST and any tax we must deduct at source, apply as the law requires.

8. No unsubstantiated promises

We do not promise advertising results. Any guarantee we offer is limited to our own delivery and is stated where you buy, with its conditions beside it. We publish no performance claim we cannot evidence.

9. Disclaimer of warranties

The Platform is provided "as is" and "as available" to the extent the law allows. We do not warrant uninterrupted or error-free service, and we are not responsible for the conduct, content, or performance of other users (in the marketplace and self-serve offerings, that includes the Creator's or Brand's performance of their own contract).

10. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, or consequential loss, or loss of profit, revenue, data, or goodwill. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim, or ₹10,000. Nothing here limits liability that cannot be limited by law.

11. Indemnity

You will indemnify us against claims, losses, and costs arising from your content, your use of the Platform, your breach of these Terms, or your breach of any law, including advertising and tax law.

12. Grievances, disputes, and governing law

Complaints go to our Grievance Officer, Shiv Shankar Kanaujiya, at hello@scriptmyads.com, acknowledged within 48 hours and resolved within one month.

These Terms are governed by the laws of India. Before any formal step, the parties will try in good faith to resolve a dispute by written notice and discussion. A dispute not resolved in 30 days will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act 1996, seated in Bengaluru, conducted in English. The courts at Bengaluru, Karnataka have exclusive jurisdiction, and either party may still seek urgent injunctive relief from those courts to protect intellectual property or confidential information.

13. Suspension, termination, and survival

We may suspend or end your access for breach or legal reasons. You may close your account at any time. Sections that by their nature should survive termination (payments owed, content licences already granted, disclaimers, limitation of liability, indemnity, and dispute resolution) survive.

14. Force majeure

Neither party is liable for failure or delay caused by events beyond reasonable control (including outages, network or platform failures, natural events, or government action). This also applies to our agency guarantee: a force-majeure event does not trigger the "month one free" promise.

15. Order of precedence

If these documents conflict, the order is: the specific written campaign scope, then the role-specific agreement (Creator or Brand), then these Terms. On refunds and cancellations the Refund and Cancellation Policy governs, ahead of the role-specific agreement.

16. General

These Terms, the Privacy Policy, and your role agreement are the entire agreement between us. If any part is unenforceable, the rest stands. You may not assign your account or these Terms; we may assign them. A failure to enforce a term is not a waiver. You agree to receive notices electronically. We may update these Terms; material changes are notified through the Platform.
